As soon as the company has been assigned its local tax ID and has a commercial register number, our colleagues submit the application to the tax office in order to obtain the VAT ID. The issuance of the EU tax number can take anywhere from 1 to 3 months. It always depends on how quickly the employees of the tax office process the applications received.

How do I Setup a Polish Company?
Our employees prepare the documents to be signed for the agreed date. These will be signed before and in the presence of a local notary. Among the documents to be signed there are declarations and powers of attorney. In the declarations the shareholders and managing directors state that they are not convicted, that they comply with the statutory provisions relating to company formation, that the managing director is not prohibited from exercising the function of a managing director or that the business partners and managing directors did not participate as members in bankrupt or fraudulent trading companies.
After all these formalities our colleague accompanies the prospective client that wishes to carry out a business activity in Poland to any banking institute in order to open the bank account. It is not compulsory to pay the share capital into the bank account because the business partners and managing directors have made a declaration at the notary also in this respect, namely that they have provided the necessary minimum capital to the company, whereby this minimum capital is to be found in the petty cash and the company would begin its activity from this amount.
ATTENTION: It can sometimes happen that some banks reject the account opening. In such cases one tries to open the company account in other institutes. Our customers should estimate a full day to initiate the business startup procedure. This means that after having discussed the details in our office and after having signed the declarations and powers of attorney in front of the notary, respectively and until after opening the company account it would take about 4 to 5 hours. Ergo, it is recommended to stay overnight in Poland, so that if you start with the processing at 09:00 a.m., you would finish it by afternoon.
After our clients are done with the necessary signatures, the next steps will be carried out by our colleague. He registers the corporation with the companies´ court, registers it in the VAT group and submits the necessary applications to the local tax office. The companies´ court issues the Polish tax number and the company registration number within a period of 1 – 3 weeks. After the decision has been issued, our colleague submits the application to the tax office for the EU tax number.
Thanks to the peculiar time management of the Polish tax office, it is possible that the EU tax number would already be issued one week after application submission. At the same time, it is also not uncommon that you would have to wait 6 – 10 weeks to obtain the EU tax number.
As soon as the companies´ court has registered the company and issued the registration decision, respectively, our employees inform the company founding business partners and transfer to them the REGON or KRS documents in a scanned form. The incorporation of the Polish company is only completed when the new company would have received its EU tax code. Our agency also offers its services in matters of headquarters! Thus, the shareholders of the start-up company would be able to apply for a head office service from us, in case one cannot secure a seat address for the new company. However, our agency does not provide either tax advice or accounting. Nonetheless, we can recommend you authorized accountants who can take care of the bookkeeping of your company and file the monthly or quarterly tax returns. Our agency also receives many applications in relation to ready-made companies.
Unfortunately, this service is not part of our range of services because the local tax authority despises those founding referees who always set up companies with the aim of commercialising them as quickly as possible. Thus, in Poland, we can only offer our customers support in the context of founding a company. Likewise, we cannot offer support to our clients who want to operate their business in Poland in terms of finding existing companies offered for sale, because this also has its risks.
